Universal Insurance Plc Right Issue

Dear Esteemed Shareholder,

We are pleased to inform you that the Universal Insurance Plc (“Universal Insurance” or the “Company”) Rights Issue of 2,666,666,667 ordinary shares of 50 Kobo each at ₦1.20 per share on the basis of One (1) new ordinary share for every Six (6) existing ordinary shares held as at the close of business on 30 March, 2026 is NOW OPEN and is scheduled to close on 10 June, 2026.

Universal Insurance Plc is one of Nigeria’s longstanding and reputable general insurance companies, with over six (6) decades of operations in the insurance industry. The Company provides a broad range of non-life insurance products and risk management solutions to individuals, corporates and public sector institutions across Nigeria.

The Rights Issue is expected to support the Company’s recapitalization objectives, strengthen its balance sheet and enhance its capacity to take advantage of emerging opportunities within the Nigerian insurance industry.

Shares not taken up by the date on which the Acceptance period closes will be allotted on a pro-rata (proportional) basis, in line with the SEC Rules and Regulations, to Shareholders who have applied and paid for additional shares over and above their provisional allotment.
